Offering Memorandum (“OM”)

Standardized legal document used for the marketing of high yield bonds. The OM should contain all the public information available which could be relevant for an investor when assessing a potential investment in a particular bond issuance. It includes details on the envisaged transaction, the capitalization, the use of proceeds from the bonds, a detailed financial overview and management discussion & analysis of the historical results, an overview of the company and the industry it operates in, a list of potential risks coming from investing in the bonds, the detailed legal terms of the bond issuance, as well as multiple other legal and regulatory disclosures.
